We are also involved in the drafting of articles of association as well as contracts of employment for board members and managing directors. In the design and structuring, tax aspects in the context of such projects are taken into account.
Start-ups
Lexton advises start-ups from the selection of the legal form and corporate name to the drafting of articles of association and shareholders’ agreements for a wide variety of start-up constellations. We support the necessary notarised deeds of incorporation and the first steps in setting up the new company. Fiduciary agreements and contracts of employment for managing directors are part of the consulting field.
Company acquisitions
Whether share deal or asset deal, we support our clients in all phases of a transaction from the structuring of a planned transaction and the negotiation of confidentiality and exclusivity agreements to the implementation of due diligence and preparation of a term sheet to the drafting and negotiation of contracts to post-transaction services. If special areas of law play an important role in the transaction (e.g. antitrust law, trademark law, pension obligations, foreign matters), we can draw on a broad network of partners for support.
Shareholdings, joint ventures
Lexton advises clients on entering into company holdings – whether these are strategic or investment-driven. Lexton assists you with convertible loans, capital increases, and other forms of participation as well as with the direct acquisition of shareholdings. This includes the need for adjustments resulting from such an investment (e.g. the redrafting of the articles of association and/or the conclusion of shareholder’ agreements). Lexton also provides support in the context of co-operations – whether through open shareholdings under corporate law or agreements under the law of obligations (virtual shareholdings). This includes contractual precautions in the event of stalemates as well as any exit strategies from such collaborations.
Restructuring
Lexton assists with demergers, spin-offs, and outsourcing to existing or new legal entities as well as other restructuring measures.
